Terms of Service

1. Agreement
By using Soak, you agree to these terms. If you're using Soak on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
2. Service Description
Soak provides LLM-assisted qualitative analysis tools. You upload research documents, and our service uses large language models to help analyse them. Access to analysis features is managed through a prepaid credits system.
3. Your Responsibilities
- You are responsible for the data you upload
- You must have appropriate consent/authority to process uploaded data
- You must not upload illegal content
- You must not attempt to circumvent security measures
- You must not use the service for automated decision-making affecting individuals without human review
4. Account
- You must provide accurate account information
- You are responsible for maintaining account security
- You must notify us of any unauthorised access
5. Data Processing
When you upload research data, you act as the data controller and we act as the data processor. Our Data Processing Agreement governs this relationship.
6. BYOK (Bring Your Own Key)
BYOK is available only by custom agreement. If a BYOK arrangement has been agreed and you provide your own API key, you are responsible for:
- Compliance with your API provider's terms
- Costs incurred with your API provider
- Data handling by your chosen provider
BYOK arrangements do not affect the terms governing your use of the Soak platform itself, including any credits purchased for platform features.
7. Intellectual Property
- You retain ownership of your uploaded data and analysis results
- We retain ownership of the Soak platform and software
- We do not use your data to train models
8. Credits and Payment
Soak operates on a prepaid credits model. Credits are purchased in advance and deducted as you use the service.
- Credits may be purchased via Stripe or, where agreed, by invoice
- Credits are non-refundable once purchased, except at our discretion
- Credits are valid for up to 18 months from grant or purchase. Credits may be lost after that period. Soak may choose not to enforce expiry immediately.
- Credit pricing may change, but purchased credits retain their value
- We may grant complimentary credits at our discretion (e.g. for beta access or promotional purposes); the same validity period applies
- Different models and analyses consume different amounts of credits
- We may change the credit cost of specific models or operations with reasonable notice
9. Service Availability
We aim to provide reliable service but do not guarantee specific uptime. We may perform maintenance with reasonable notice. We are not liable for service interruptions.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to fees paid in the 12 months preceding a claim
- We are not liable for indirect, consequential, or incidental damages
- LLM outputs may contain errors -- you are responsible for reviewing results
11. Termination
- You may close your account at any time
- We may terminate accounts that violate these terms
- On termination, you may export your data within 30 days
- After 30 days, we will delete your data
12. Changes
We may update these terms. Material changes will be communicated with 30 days notice. Continued use after changes constitutes acceptance.
13. Governing Law
These terms are governed by the laws of England and Wales. Disputes will be resolved in the courts of England and Wales.
